Darius - Terms of Use

1. About Darius

Darius is an AI-powered conversational platform that routes, orchestrates, and synthesizes responses from multiple artificial intelligence models and third-party services on your behalf.

Darius does not represent any single AI provider and may use multiple internal or external models to generate responses.

2. Eligibility and Access

Minimum Age

You must be at least 13 years old, or the minimum age required to consent to online services in your country. If you are under 18, you must have permission from a parent or legal guardian.

Registration

You may be required to create an account to access certain features. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your account credentials and for all activity occurring under your account.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Use of the Services

Permitted Use

Subject to your compliance with these Terms and applicable laws, you may access and use Darius for lawful purposes.

Prohibited Use

You may not:

• Use the Services for illegal, harmful, fraudulent, or abusive activities
• Infringe or violate the rights of others
• Reverse engineer, decompile, or attempt to extract the source code, models, or system architecture
• Circumvent usage limits, security measures, or safeguards
• Automatically scrape, extract, or harvest output at scale
• Represent AI-generated output as human-generated where disclosure is required
• Use outputs to train or develop competing AI systems
• Interfere with or disrupt the Services or infrastructure

We reserve the right to suspend or terminate access for violations.

4. Third-Party Models and Services

Darius may integrate or route requests to third-party AI providers, tools, or services (“Third-Party Services”). Outputs generated by such services (“Third-Party Output”) are subject to their own terms and limitations.

We do not control, endorse, or guarantee Third-Party Services or Third-Party Output.

5. Content

Your Content

You may submit text, images, files, or other data (“Input”) and receive AI-generated responses (“Output”). Input and Output together are “Content”.

You are responsible for your Content and represent that you have all necessary rights to provide it.

Ownership

• You retain ownership of your Input
• To the extent permitted by law, you own the Output generated specifically for you
• Outputs may be similar or identical to outputs generated for other users

Our Use of Content

We may use Content to:

• Provide and maintain the Services
• Improve system performance and reliability
• Enforce policies and ensure safety
• Comply with legal obligations

You may be offered options to limit or opt out of certain training or improvement uses, subject to technical constraints.

6. Accuracy and AI Limitations

You acknowledge and agree that:

• AI outputs may be inaccurate, incomplete, misleading, or outdated
• Outputs are provided for informational purposes only
• You must independently verify outputs before relying on them
• Outputs are not a substitute for professional advice (medical, legal, financial, or otherwise)
• You must not use outputs to make decisions that materially affect individuals without appropriate human review

7. Intellectual Property

All rights, title, and interest in the Services, including software, branding, and system design, are owned by Tranquil or its licensors. You may not use our name, logo, or branding without prior written consent.

8. Paid Services and Billing

If you subscribe to paid plans or purchase credits:

• You agree to provide valid payment information
• Charges may recur automatically unless cancelled
• Fees are non-refundable except where required by law
• Prices may change with advance notice
• Failure to pay may result in suspension or downgrade.

9. Suspension and Termination

You may stop using the Services at any time.

We may suspend or terminate your access if:

• You violate these Terms
• Your use poses legal, security, or operational risk
• Required by law

Inactive free accounts may be deleted after prolonged inactivity.

10. Disclaimers

The Services are provided “AS IS” and “AS AVAILABLE”.

To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that outputs will be accurate, reliable, or error-free.

11. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for indirect, incidental, consequential, or special damages
• Our total liability shall not exceed the greater of:

• The amount you paid us in the 12 months prior to the claim, or
• USD $100

Some jurisdictions do not allow certain limitations; your rights may vary.

12. Indemnification

If you are using Darius on behalf of a business, you agree to indemnify and hold harmless Tranquil, its officers, employees, and partners from claims arising out of your use of the Services or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles.

Any disputes shall be resolved through binding arbitration or competent courts in the UAE, unless otherwise required by applicable law.

14. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated via the Services or email at least 30 days in advance where required.

Continued use after changes take effect constitutes acceptance.
